By accessing our website or engaging our services you agree to be bound by these Terms.

Purpose of These Terms
These Terms & Conditions establish the contractual framework between you (the client or website visitor) and Chaitanya Digital Solutions, a Mumbai-based technology consulting company. They define the rights, responsibilities, limitations, and expectations applicable to the use of our website and the provision of professional digital services. These Terms form part of any engagement together with applicable proposals, statements of work, invoices, and related policies including our Privacy Policy and Refund & Cancellation Policy.
By accessing our website, submitting an inquiry, authorizing work, or making payment, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you should not use our website or engage our services. We may update these Terms from time to time; the version in effect at the time of engagement or use will apply unless otherwise agreed in writing.
Service Agreement & Legal Framework
1. About Chaitanya Digital Solutions
Chaitanya Digital Solutions is a Mumbai-based technology consulting company providing website development, WordPress development, website maintenance, website security, technical SEO, local SEO, Google Business Profile optimization, hosting, cloud infrastructure, business automation, AI automation, CRM solutions, digital strategy, branding, and cybersecurity consulting services. Our services are directed primarily to businesses, professionals, and organizations. Engagements are commercial in nature. Nothing in these Terms creates a partnership, joint venture, or employment relationship between the parties.
2. Service Engagement
Engagement may arise through website contact forms, WhatsApp, telephone, email, Google Business Profile inquiries, proposals, or written agreements. A binding engagement for a specific project or service typically arises upon mutual written or electronic acceptance of scope and commercial terms, or upon payment of an agreed advance where applicable. Quotes and proposals are valid for the period stated therein or, if none is stated, for a reasonable period. Project scope is defined by the accepted proposal or statement of work. Changes to scope require mutual agreement and may affect fees and timelines. Client delays in providing information, approvals, or access may extend delivery schedules without liability on our part.
3. Pricing & Payments
Fees are generally quoted and payable in Indian Rupees unless otherwise agreed. Payment methods may include bank transfer, UPI, or other channels as indicated on invoices or proposals. Advance payment or milestone payments may be required before work proceeds or continues. Invoices are due according to the terms stated on the invoice. Late payment may result in suspension of services, withholding of deliverables, or termination. Applicable taxes, including GST where chargeable, will be added as required by law. Clients remain responsible for any bank or payment-processing charges imposed by their own providers. Outstanding balances remain payable even if the engagement is suspended or terminated for non-payment.
4. Client Responsibilities
Clients must provide accurate and complete information necessary for the delivery of services, respond to requests for feedback and approvals within reasonable timeframes, and ensure that all content, materials, and data supplied are lawful and do not infringe third-party rights. Clients are responsible for maintaining the security of their own credentials, systems, and accounts; reviewing deliverables promptly; maintaining independent backups of critical data where appropriate; and complying with all applicable laws in their use of the services and any resulting websites or systems. Failure to meet these responsibilities may delay delivery or affect service quality without creating liability for Chaitanya Digital Solutions.
5. Domains, Hosting & Third-Party Services
Where we assist with domain registration, hosting, cloud infrastructure, SSL certificates, email services, or other third-party products, those products remain subject to the terms of the relevant third-party providers. We are not responsible for outages, policy changes, pricing changes, or service limitations imposed by third-party providers. Clients are responsible for timely renewal of domains, hosting plans, and licenses where the client holds the account. We do not guarantee continuous availability of any third-party service. Open-source components, premium plugins, themes, and licensed software used in projects remain subject to their respective licenses. Ownership and transfer of third-party accounts will be handled in accordance with vendor rules and any written agreement between the parties.
6. SEO & Visibility Services
Technical SEO, local SEO, and Google Business Profile services are performed on a professional, best-effort basis. Search engine rankings, traffic volumes, leads, or business outcomes cannot be guaranteed because ranking algorithms and user behaviour are controlled by third parties and change over time. Results depend on numerous factors outside our control, including competition, content quality, and search engine policies. We do not promise specific positions, traffic levels, or commercial results. Clients remain responsible for the accuracy and lawfulness of content published on their sites or profiles.
7. Cybersecurity Services
Cybersecurity consulting, assessments, and related website security work are intended to reduce risk. Absolute security cannot be guaranteed. No system is immune from all threats. Clients remain responsible for implementing recommended practices, maintaining strong credentials, applying updates, and keeping independent backups. We do not warrant that services will prevent all incidents, breaches, or vulnerabilities. Any security recommendations are advisory in nature.
8. AI & Automation Services
AI automation, business automation, and related tools are provided to support productivity and process improvement. AI-generated output may contain errors, biases, or incomplete information and requires human review and validation before any business, legal, or operational use. Clients are solely responsible for evaluating and approving the use of any AI-generated content or automated processes. We do not guarantee specific performance outcomes from automation or AI implementations.
9. Intellectual Property
Pre-existing intellectual property of Chaitanya Digital Solutions, including methodologies, templates, frameworks, and tools, remains our property. Third-party and open-source software remains subject to its own licenses. Client-supplied content remains the client’s property. Custom deliverables created specifically for a client under a paid engagement will, upon full payment of all related fees, generally transfer to the client subject to any retained license rights we may need to reuse non-client-specific components and subject to third-party license terms. Until full payment is received, we retain ownership of custom work product. Clients receive a limited license to use deliverables only for the intended business purpose once payment is cleared. Unauthorized use, resale, or redistribution of our pre-existing materials is prohibited.
10. Confidentiality
Each party agrees to protect non-public information received from the other in connection with an engagement and to use such information only for the purposes of the engagement. Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known, is independently developed, or is required to be disclosed by law. These obligations survive termination of the engagement for a reasonable period.
11. Refund Policy
Refund and cancellation matters are governed by our separate Refund & Cancellation Policy, which forms part of these Terms by reference. In general, once work has been initiated, resources allocated, or third-party costs incurred, services are non-refundable except as expressly provided in that Policy or required by applicable law. Domain registrations, hosting fees, licenses, and similar third-party charges are non-refundable once incurred. Clients should review the Refund & Cancellation Policy before authorizing work or making payment.
12. Limitation of Liability
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to any engagement or these Terms is limited to the fees actually paid to Chaitanya Digital Solutions for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, lost business opportunities, or reputational harm, even if advised of the possibility of such damages. We do not warrant uninterrupted or error-free operation of any website, hosting environment, or system. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Indian law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Chaitanya Digital Solutions and its personnel from and against claims, losses, damages, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the services, your breach of these Terms, or your violation of any law or third-party rights. This obligation survives termination of the engagement.
14. Governing Law
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or any engagement shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce any right does not constitute a waiver. These Terms, together with any applicable proposal, statement of work, invoice, Privacy Policy, and Refund & Cancellation Policy, constitute the entire agreement between the parties with respect to the subject matter and supersede prior discussions. We may update these Terms; continued use of the website or services after an update constitutes acceptance of the revised Terms. Force majeure events beyond reasonable control may excuse performance delays without liability.
Key User Responsibilities
You are responsible for providing accurate information and timely approvals, ensuring that all content and materials you supply are lawful, protecting your credentials and systems, maintaining independent backups where appropriate, and reviewing all deliverables including any AI-generated output before operational use. Chaitanya Digital Solutions provides professional services on a commercially reasonable, best-effort basis. We do not guarantee search engine rankings, traffic, leads, sales, absolute security, continuous uptime, or any specific business outcome. Clients should evaluate services against their own requirements and risk tolerance.
