The applicable proposal, quotation, project brief, statement of work, or written scope identifies the services to be delivered, relevant assumptions, commercial terms, and project requirements.

These Terms & Conditions establish the general contractual framework governing services provided by Chaitanya Digital Solutions, including website development, WordPress development, e-commerce development, SEO, local SEO, website security, cybersecurity-related consulting, automation, AI-assisted systems, CRM and business systems, digital strategy, branding, maintenance, hosting-related services, and other technology services.
Individual projects may also be governed by a proposal, quotation, statement of work, invoice, service agreement, project brief, written approval, or other agreed commercial document. Where a specific written agreement conflicts with these general Terms, the specific agreement will govern to the extent of that conflict.

CDS engagements are normally defined through a combination of agreed scope, commercial terms, client requirements, project communications, and applicable service documentation.
The applicable proposal, quotation, project brief, statement of work, or written scope identifies the services to be delivered, relevant assumptions, commercial terms, and project requirements.
Work may begin after the client provides appropriate approval, acceptance, payment, access, or other confirmation required under the relevant engagement.
CDS performs the agreed services using reasonable professional efforts and according to the scope, dependencies, information, and approvals available for the engagement.
A project may be considered completed when the agreed deliverables have been supplied or deployed, subject to the acceptance, revision, support, and payment terms applicable to the engagement.
Services are limited to the scope expressly agreed for the relevant engagement. A general description on the CDS website does not automatically include every feature, integration, deliverable, or ongoing obligation.
Deliverables, features, integrations, pages, configurations, consultations, reports, optimisation activities, or other work included in a project are determined by the applicable written scope.
Requests outside the agreed scope may require additional fees, revised timelines, a change request, or a separate engagement. CDS may confirm such changes in writing before proceeding.
Delivery may depend on client approvals, content, credentials, third-party services, hosting, domain access, API availability, payment systems, platform policies, or other external dependencies.
CDS may use reasonable professional judgment regarding technical implementation, architecture, configuration, design, optimisation, and workflow decisions within the agreed scope.
Clients are responsible for providing accurate and timely information, approvals, content, access, credentials, business instructions, and other dependencies reasonably required for the agreed service.
Clients must provide information, requirements, business details, content, and instructions that are accurate to the best of their knowledge.
Where access is required, clients are responsible for providing appropriate authorisation and maintaining authority over their accounts and systems.
Delayed approvals, feedback, content, or decisions may affect delivery schedules and project dependencies.
Clients remain responsible for the legality of their business, content, products, claims, customer communications, data practices, and regulatory obligations.
Payment terms are determined by the relevant proposal, quotation, invoice, subscription arrangement, or written service agreement.
Where an advance, deposit, milestone payment, subscription, or initiation fee is specified, CDS may require payment before commencing the relevant stage of work.
Projects may be divided into milestones or stages. Completion or commencement of an agreed milestone may create a corresponding payment obligation under the applicable commercial terms.
Overdue amounts may result in suspension, delayed delivery, withholding of deployment or access, or termination where permitted by the applicable agreement.
Applicable taxes, government charges, payment-processing charges, third-party costs, and other expressly identified costs are handled according to the relevant invoice or agreement.
Changes after work has commenced can affect effort, architecture, delivery timelines, dependencies, and project pricing.
Reasonable revisions included in the agreed scope will be handled according to the relevant project terms. The number and nature of included revisions may vary by service.
New features, pages, integrations, redesigns, functionality, or requirements that materially change the agreed scope may be treated as additional work.
Where progress depends on client feedback, approvals, content, or access, delays attributable to those dependencies may affect the estimated delivery schedule.
Technical limitations imposed by existing systems, third-party platforms, legacy infrastructure, APIs, hosting environments, or software may require an alternative implementation.
Intellectual-property ownership and usage rights depend on the nature of the material, applicable law, third-party licensing, and the commercial agreement governing the engagement.
Content, trademarks, logos, photographs, documents, business information, and other materials supplied by the client remain subject to the client’s rights and responsibilities.
Themes, plugins, fonts, stock assets, software, APIs, libraries, platforms, and other third-party materials remain subject to their respective licences and terms.
Rights in custom work created specifically for a client may be transferred or licensed according to the applicable proposal, invoice, service agreement, or written arrangement.
CDS retains rights in its pre-existing tools, methods, frameworks, know-how, reusable components, processes, and general technical expertise unless expressly agreed otherwise.
Many digital projects depend on third-party platforms and infrastructure. Their availability, policies, pricing, technical behaviour, and security are outside CDS’s complete control.
Hosting companies, domain registrars, DNS providers, cloud platforms, and infrastructure vendors may impose their own limitations, policies, outages, or pricing changes.
Payment gateways and financial-service providers independently control transaction processing, approvals, settlement, fees, compliance checks, and service availability.
Search engines and business platforms may change algorithms, indexing behaviour, policies, visibility, eligibility requirements, or platform functionality.
Software vendors, APIs, plugins, themes, automation platforms, AI providers, and other external technologies may change functionality, pricing, limits, compatibility, or availability.
CDS provides professional technology services. Results may depend on factors outside the company’s control.
SEO and local SEO services do not guarantee a particular ranking, indexing status, traffic level, lead volume, Google Business Profile outcome, or revenue result.
Security reviews, hardening, remediation, and related services are intended to reduce identified or reasonably foreseeable risks. They cannot guarantee prevention of every future attack, compromise, vulnerability, or security incident.
AI-assisted systems may generate outputs that require human verification, contextual review, or correction. Clients remain responsible for consequential decisions made using such systems.
Website and software delivery depends on the agreed technical environment. No representation is made that every third-party browser, device, integration, plugin, API, or future software update will remain compatible indefinitely.
Confidential information shared during a professional engagement will be handled according to the applicable agreement, legitimate business requirements, and applicable law.
Information identified as confidential or reasonably understood to be confidential will not be intentionally disclosed outside the legitimate requirements of the engagement, subject to applicable law and contractual arrangements.
Confidentiality obligations do not prevent disclosure where required by applicable law, lawful governmental process, court order, or other mandatory legal requirement.
Information already publicly available through legitimate sources is generally not treated as confidential solely because CDS has reviewed or referenced it.
Where an engagement requires stronger confidentiality controls, the parties may enter into an NDA or other written confidentiality agreement.
CDS or the client may terminate an engagement according to the applicable service agreement. Where no specific termination provision exists, reasonable written notice should be provided where practical.
Services may be suspended where invoices or agreed payments remain overdue, subject to applicable contractual and legal requirements.
An engagement may be suspended or terminated where a material contractual obligation is breached and the issue is not resolved within an applicable cure period, where one applies.
CDS may restrict or terminate services where systems or services are used for unlawful activity, fraud, abuse, malicious conduct, or activity that creates unreasonable security or operational risk.
Termination does not automatically cancel payment obligations for work already performed, approved milestones, or third-party costs incurred before termination.
The following provisions apply subject to applicable law and any specific liability terms agreed in writing for an engagement.
CDS’s responsibility is generally limited to the services and deliverables expressly included within the applicable engagement scope.
To the extent permitted by applicable law, CDS will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from an engagement.
CDS does not guarantee revenue, rankings, leads, sales, market performance, uninterrupted availability, or other business outcomes that depend on factors beyond the agreed service scope and control of CDS.
Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited under applicable Indian law.
Delivery may be affected by circumstances that could not reasonably be controlled or prevented by CDS.
Such circumstances may include major infrastructure outages, widespread network failures, natural disasters, government restrictions, significant third-party platform failures, or other events beyond reasonable operational control.
Where such circumstances affect delivery, reasonable efforts may be made to resume or adjust the affected service once practical.
These Terms & Conditions are governed by the laws of India. Subject to applicable mandatory jurisdictional rights, disputes arising from an engagement will be subject to the competent courts having jurisdiction in Maharashtra, India.
Where a project-specific agreement provides a different dispute resolution mechanism, including negotiation, mediation, arbitration, or another lawful mechanism, that agreement will govern to the extent applicable.
These Terms form part of a broader legal framework. The applicable documents depend on the service and nature of the engagement.
